Sterling & Wilson Solar's US arm wins order worth USD 121.7 mn

Sterling and Wilson Solar Solutions Inc. , the US subsidiary of Sterling & Wilson Solar, announced that it has signed an order worth USD 121.7 million (~ Rs 890 crore) in the Pacific Northwest region of the United States of America.

The order has been received from a leading sustainable energy company and is scheduled to be commissioned by Q4 FY 2022. SWSS will be managing the entire turn-key execution for the PV project.

Sterling and Wilson Solar to receive Rs 250 cr from promoters against outstanding loans

Sterling and Wilson Solar announced that the promoters Shapoorji Pallonji and Company and Khurshed Daruvala entered into a Share Purchase Agreement on 23 March 2021 with Adani Green Energy with respect to disposal of 100% shareholding held by Sterling and Wilson Private Limited (SWPL) in 2 SPVs. The enterprise valuation of the 2 SPVs is Rs 446 crore.

SWPL will receive net sale consideration of about Rs 250 crore and the entire amount of the net sale proceeds will be utilized towards repayment of part of the outstanding loans due to the Company

About Company

Sterling and Wilson Solar Limited was originally incorporated as a private limited company with the name 'Rashmika Energy Private Limited' on March 9, 2017. Subsequently, the Solar EPC Division of Sterling and Wilson Private Limited was demerged into the Company pursuant to the order dated March 28, 2018 of the NCLT, Mumbai approving the Scheme of Arrangement, with the appointed date for the transfer of such Solar EPC Division being April 1, 2017. Thereafter, to reflect the association of the Company with the Sterling and Wilson group, the name of the Company was changed to Sterling and Wilson Solar Private Limited pursuant to the resolution passed by the Shareholders at their EGM held on March 29, 2018 and the certificate of incorporation pursuant to change of name was issued by the RoC on April 24, 2018.Subsequently, the Company was converted into a public limited company pursuant to the approval of the Shareholders at an EGM held on January 11, 2019. Consequently, the name of the Company was changed to Sterling and Wilson Solar Limited on January 25, 2019. The Company is a global pure-play, end-to-end solar engineering, procurement and construction ('EPC') solutions provider, and were the world's largest solar EPC solutions provider in 2018 based on annual installations of utility-scale photovoltaic ('PV') systems of more than five mega-watt peak ('MWp'), according to IHS Markit. The Company provides EPC services primarily for utility-scale solar power projects with a focus on project design and engineering and manage all aspects of project execution from conceptualizing to commissioning. It also provides operations and maintenance ('O&M') services, including for projects constructed by third-parties. The Company commenced operations in 2011 as the Solar EPC Division of SWPL and demerged from SWPL with effect from April 1, 2017. Over a span of seven years, the company became the largest solar EPC solutions provider in each of India, Africa and the Middle East according to IHS Markit in 2018 and currently has a presence across 26 countries. As of March 31, 2019, The Company had 205 commissioned and contracted solar power projects with an aggregate capacity of 6,870.12 MWp. The Company offers a complete range of customized solutions for solar power projects. The customers include leading independent power producers ('IPPs'), developers and equity funds. It adopts a consultative approach to customers' solar energy needs and capabilities, which enables it to provide customized solutions to meet their requirements.
